Wholesale Terms and Conditions

By placing a wholesale order with Pacific Mist Botanicals, you agree to be bound by the following terms and conditions.

1. Account Requirements

• Approval: All wholesale accounts are subject to approval.
• Eligibility: Wholesale accounts are available to brick-and-mortar retail shops or authorized online retailers with their own, dedicated storefront website.
• Resale Restriction: Products purchased from Pacific Mist Botanicals shall be resold only in the form and packaging provided by the Pacific Mist Botanicals.  Retailer agrees not to sell on third-party online marketplaces (e.g., Amazon, eBay, Etsy, Walmart) without express written consent.
• Business Identification: A valid tax exemption or resale certificate must be provided upon request.

2. Ordering and Minimums

• Minimum Order - $200.00. 
• Ordering Method: Orders must be placed via our website, email, or by phone 858-353-1697.
• Order Changes: Cancellations or changes to orders must be made within 24 hours of submission.

3. Pricing and Payment

• Wholesale Price: All prices are listed in USD and are subject to change without notice.
• Payment Terms: Payment is due in full at the time of order for the first 3 orders. After that, Net 30 terms may be approved.
• Payment Methods: We accept all major credit cards. 
• Late Fees: Invoices not paid within terms are subject to a 1.5% late fee      per month on the outstanding balance.

4. Shipping and Risk of Loss

• Shipping Costs: Shipping charges are not included in the wholesale price and are the responsibility of the Retailer.
• Risk of Loss: Products are at the Buyer's risk from the moment they are      delivered to the courier.
• Damages/Shortages: Damages or shortages must be reported within 5 business days of receipt, accompanied by photos of the damaged goods and packaging.

5. Returns and Exchanges

• Returns Policy: Returns are accepted only for damaged or defective items.
• Time Limit: Requests for returns must be made within 7 days of delivery.

6. Intellectual Property

• Brand Assets: Pacific Mist Botanicals retains all intellectual property rights to product names, logos, photos, and descriptions.
• Usage: Retailers are permitted to use our product images for marketing purposes, provided it is for the sale of our products.

7. Limitation of Liability

• Pacific Mist Botanical shall not be liable for any incidental, indirect, or consequential damages (including loss of profit) arising from the sale or use of our products.
